These Terms of Use (“Terms”) govern your access to and use of this website and all services and digital offerings provided by Pivotal AP (“Pivotal AP,” “we,” “us,” or “our”). By accessing this website, submitting payment, or purchasing any service or digital product, you agree to be bound by these Terms.
If you do not agree, do not use this website or purchase our services.
1. Business Information
Pivotal AP is a sole proprietorship operating in the State of Georgia, United States.
2. Scope of Services & Offerings
Pivotal AP provides accounts payable–related services and digital materials, including but not limited to:
- Emergency AP services
- Ongoing AP retainers
- One-time AP audits, clean-ups, and system reviews
- Advisory and operational reviews (non-audit)
- Digital documents, templates, and written reports
Delivery may occur through written documentation, file review, virtual communication, or other agreed methods.
3. No Guarantees / Best-Effort Services
All services are provided on a best-effort basis only.
Pivotal AP:
- Does not guarantee financial results or outcomes
- Does not guarantee audit results
- Is not a CPA, auditor, or audit firm
- Does not provide legal, tax, or regulatory advice
All recommendations are advisory. You retain full responsibility for compliance, filings, payments, and implementation decisions.
4. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information
- Respond promptly to requests necessary to perform services
- Retain responsibility for all business decisions and actions
- Maintain your own records and backups
Pivotal AP is not responsible for delays, errors, or outcomes caused by incomplete, inaccurate, or late information provided by you.
5. System Access & Data Use
If you provide system access (e.g., ERP platforms for manual invoice entry), access is used solely to perform the purchased service.
Pivotal AP:
- Does not initiate payments
- Does not access bank credentials
- Does not assume control over financial accounts
6. Payments & Checkout Processing
All payments are processed securely through SureCart, with payment processing handled by Stripe.
By submitting payment, you authorize Pivotal AP, SureCart, and Stripe to process your transaction. All prices are listed in U.S. dollars and are due in full at the time of purchase.
Failure to submit payment may result in suspension or cancellation of services.
7. Refunds & Cancellations
Refunds are governed exclusively by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
8. Termination of Services
Pivotal AP may terminate services after written notice, immediately and at its discretion, for:
- Non-payment
- Abuse or harassment
- Non-cooperation
- Scope creep
- Misuse of deliverables
Upon termination:
- All work stops immediately
- No refunds are issued
9. Limitation of Liability
To the maximum extent permitted by law, Pivotal AP’s total liability shall not exceed the amount paid for the specific service giving rise to the claim.
Pivotal AP is not liable for:
- IRS penalties
- Vendor disputes
- Missed deadlines caused by client delay
- Compliance failures
- Lost profits, indirect, or consequential damages
10. Indemnification
You agree to indemnify and hold harmless Pivotal AP from any claims, damages, losses, or expenses arising from:
- Your misuse of services or deliverables
- Your implementation decisions
- Third-party claims related to your business
11. Arbitration & Class Action Waiver
All disputes shall be resolved through binding arbitration, not in court.
You waive any right to:
- Jury trials
- Class actions
- Consolidated claims
Arbitration is governed by applicable federal law.
12. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
13. Updates to Terms
We may update these Terms at any time. Continued use of the website or services constitutes acceptance of updated Terms.
